Documents Required for Private Limited Company Registration in India

For every director and subscriber you need a PAN, identity proof, recent address proof, a photo, a mobile number, an email and a digital signature. The company needs proof of its registered office. The MoA, AoA and declarations are created inside the SPICe+ form.

Short answer

Everything is uploaded as a scan. Have PAN, ID proof, address proof and a photo of each director and subscriber, plus office proof, ready as clear PDFs or images before you open the form. A private company needs at least two directors and at least two subscribers (shareholders), and at least one director must stay in India for 182 days or more in each financial year.

The rules are the same in Ahmedabad as anywhere in India: incorporation is online, and the Registrar for Gujarat handles companies whose registered office is in Gujarat. Where a detail depends on the current MCA instruction kit, we say so.

MCA fees and state stamp duty are not documents, and they depend on the authorised capital and the state, so we do not quote a figure here. If you later need to raise capital, the SH-7 stamp duty and MCA fee finder shows the position.

What do Indian directors and shareholders need to provide?

Each Indian individual who is a director or a subscriber (the people whose names go on the MoA) supplies the same set: PAN, identity proof, address proof, photograph, mobile number and email. One person can be both a director and a subscriber and uploads the set once.

Address proof must be recent. Rule 16 of the Companies (Incorporation) Rules, 2014 says the bank statement, electricity bill or telephone/mobile bill must not be more than two months old. Use one that shows the same address you will type into the form. The rule also makes PAN mandatory for Indian nationals.

Residency rule. At least one director must stay in India for a total of 182 days or more during the financial year (section 149(3) of the Companies Act, 2013). For a newly incorporated company the requirement applies proportionately at the end of its first financial year. If all your directors live abroad, plan for this before you file.

What changes for NRI or foreign directors and subscribers?

Foreign nationals and NRIs use a passport as identity proof, plus a residence proof (bank statement or utility bill, not more than two months old); a foreign national also gives proof of nationality (rule 16). For a foreign national living outside India, rule 13(5) sets the authentication route for signatures, address and identity proof: notarised in that country if it is a Commonwealth country; notarised and apostilled if it is a party to the Hague Apostille Convention; otherwise notarised and then authenticated by an Indian diplomatic or consular officer. A foreign national who comes to India to incorporate needs a valid business visa (not required for persons of Indian origin or OCI cardholders). Whether an NRI’s documents need the same authentication is not spelt out in the rule text we read, so confirm it before filing.

If a foreign subscriber has no DSC, practitioners report a physically signed MoA and AoA, authenticated by the route above, being scanned and attached. We could not confirm how the current SPICe+ form handles this, so have it checked before you spend money on notarising.

Can a company or LLP be a subscriber?

Yes, a private company can have a company or LLP as a shareholder. Under rule 16(2) the subscribing entity gives its CIN or registration number, name, registered office address and email, plus a certified copy of its board resolution (for an LLP, a resolution agreed to by all the partners) authorising the subscription and stating the number of shares and the person authorised to sign. The authorised person’s own particulars and ID are also needed. A foreign body corporate also gives a copy of its certificate of incorporation. Under rule 13(4), the person signing for the entity cannot also be a subscriber in their own name.

A company or LLP cannot itself be a director. Directors must be individuals.

What proof of registered office is needed, and when?

  • Owned premises: a utility bill (electricity, gas or telephone) not more than two months old, plus proof of ownership such as a sale deed or property tax receipt.
  • Rented premises: the same utility bill, a signed NOC from the owner allowing the company to use the address, and the rent agreement. Rule 25 refers to a notarised rent agreement with a rent receipt not more than one month old.
  • Premises given free by a director or relative: utility bill, ownership proof and an NOC from the owner.

Rule 25 says the utility bill must not be older than two months. The point most guides miss is timing. The Act allows an address for correspondence at incorporation (section 7(1)(d)); the company must then have its registered office within 30 days of incorporation and file verification of it with the Registrar within the same 30 days (section 12(1) and (2) of the Companies Act, 2013). That verification is currently filed on Form INC-22 with the same proof. Giving the proof at the start is the simpler path and avoids the deadline.

How do DSC and DIN work in SPICe+?

The DSC comes first: you cannot sign the form without it, so order it early. The name and PAN on it must match the form.

The DIN (Director Identification Number) is allotted through SPICe+ to first-time directors, so they do not need a separate application. Under the proviso to rule 9(1) of the Companies (Appointment and Qualification of Directors) Rules, 2014, a maximum of three proposed directors can be allotted a DIN through SPICe+. If you have more first-time directors than that, the others apply for a DIN separately on Form DIR-3. A director who already holds a DIN simply enters it.

Which documents are created during the filing itself?

  • e-MoA (INC-33) and e-AoA (INC-34): filled in on screen, not drafted in Word. They carry the objects, capital and each subscriber’s shareholding, and are signed digitally.
  • Director consent (DIR-2) and declarations: the Act requires each first director’s consent to act and a declaration from every subscriber and first director that they have no disqualifying conviction or finding of fraud in the preceding five years (section 7(1)(c) and (g)). Consent is given on DIR-2; the declaration is INC-9, which practitioners report SPICe+ generates for DSC signing. Confirm how each is handled on the live form.
  • AGILE-PRO-S (INC-35): the linked form used to apply for other registrations in the same filing. It is generally reported to cover EPFO and ESIC registration, opening a bank account, and an optional GSTIN application; Professional Tax is covered only for certain states, so do not assume Gujarat Professional Tax is included. The company’s PAN and TAN are normally applied for through the same SPICe+ filing, so a separate application to the Income Tax department is usually not needed. Confirm the PAN and TAN on the certificate and allotment emails after incorporation.

Are these rules about to change?

Possibly. On 8 April 2026 MCA published a draft of the Companies (Incorporation) Amendment Rules, 2026 for public comment. As reported, it proposes raising the SPICe+ DIN limit, treating subscribers as having consented to act as directors, making the EPFO, ESIC and bank-account parts of AGILE-PRO-S optional, and merging INC-22 and several other forms into new combined forms. A draft is not law. At the date of this review we could not confirm whether it has been notified, so check the current position before you file.

Why do SPICe+ filings get rejected or sent back?

  • Mismatch of names between PAN, ID proof, DSC and the form — a missing middle name is enough.
  • Old or unreadable address proof, or an address that differs from the one in the form.
  • Registered office NOC missing or not signed by the owner, or a utility bill in another person’s name with no NOC.
  • Name problems: a name too close to an existing company or a registered trademark.
  • NIC code that does not match the objects in the MoA.
  • DSC trouble: expired, or in a different name from the signer.
  • Subscribers’ shareholding that does not add up to the capital subscribed.

Most of these are fixed by resubmission, but each round costs days. Checking every scan against the form before you submit is the cheapest saving.

What are the basic documents for a Pvt Ltd company?

Is Aadhaar compulsory for company registration?

PAN is mandatory for Indian directors and subscribers. Rule 16 lists Aadhaar as one accepted identity proof alongside voter ID, passport and driving licence, so on that text it is not the only option. Check the live SPICe+ form before filing.

Can I use my home as the registered office?

Generally yes, if the premises may be used for it. Provide a recent utility bill and ownership proof, or a rent agreement and the owner’s NOC if it is rented. Check any housing society rules separately.

Do I need an office in Ahmedabad to register a company here?

You need a registered office address in Gujarat to come under the Registrar for Gujarat, and proof for that address. The directors can live elsewhere, subject to the one-resident-director rule.

Can a foreign national be a director?

Yes, provided at least one director stays in India for 182 days or more in the financial year. The foreign director gives a passport and address proof, authenticated by notarisation, apostille or consular attestation depending on the country, and usually needs a DSC.

How many directors get a DIN through SPICe+?

Up to three first-time directors, under rule 9 of the Companies (Appointment and Qualification of Directors) Rules, 2014. Any others apply for a DIN separately on Form DIR-3. A draft amendment published in April 2026 proposes raising this, so check the live form.

Do I have to sign the MoA and AoA on paper?

Not for most founders. The e-MoA and e-AoA are signed with the DSC. Paper signing is reported mainly for foreign subscribers without a DSC.
