Should I choose a private limited company, LLP or OPC?

Start with ownership and funding plans. A company limited by shares provides a share-based ownership structure; an OPC has one member; an LLP uses a partnership agreement. As a practical choice, discuss a private company for outside equity investment, an LLP for agreed partner contributions and profit sharing, and OPC eligibility for a solo founder. Compare ongoing obligations before filing.

Can I form a company alone, and why does an OPC need a nominee?

An eligible solo founder can form a One Person Company. Its nominee gives prior written consent to become the member if the subscriber dies or becomes incapable of contracting. Naming a nominee does not make that person a second shareholder at incorporation. Confirm the current OPC eligibility rules before preparing the application.

How many people are needed for a private limited company?

A private company other than an OPC needs at least two members and two individual directors; the same people can hold both roles. At least one director must satisfy the statutory India-stay requirement. Check residency and existing DIN details before finalising the director list.

How many partners and designated partners does an LLP need?

An LLP needs at least two partners and at least two individual designated partners. At least one designated partner must have stayed in India for at least 120 days during the financial year. Where a body corporate is a partner, check the nominee arrangements separately. Confirm these roles before drafting the incorporation documents.

What should founders agree before registering an LLP?

Record contributions, profit sharing, decision-making powers, access to accounts, admission or exit of partners and dispute handling. The LLP agreement governs partners' mutual rights and duties; the Act's default provisions apply where the agreement does not address a matter. Agree the commercial terms before signing, rather than treating the agreement as a filing formality.

Which documents should I collect before company incorporation?

Prepare identity and residential-address evidence for subscribers and directors, the proposed business activities, ownership details and registered-office evidence. An OPC also needs nominee details and consent. The attachment list changes for foreign subscribers or corporate promoters. Ask for a checklist matched to your applicant types, and reconcile names and addresses before signing.

What evidence is needed for the registered office?

Prepare proof of the address, a recent utility bill, the owner's permission to use the premises and the ownership, lease or rent documents applicable to your arrangement. Keep the address consistent across the application and attachments. Before choosing residential or shared premises, check your right to use that address and any relevant premises restrictions.

What is the difference between SPICe+ Part A and Part B?

Part A contains the proposed company-name details. Part B contains the remaining incorporation information. You can submit Part A separately for name reservation or together with Part B. When Part A is submitted separately, approval of that name application is needed before proceeding with Part B and the linked forms.

Why can a valid digital signature still fail on the MCA portal?

Having a DSC is only part of the setup. MCA instructs signatories to register as Business Users and associate their DSC in V3. Check the user role, DSC association and certificate validity before signing. If the error persists, retain the exact error message and raise an MCA helpdesk ticket instead of repeatedly starting new applications.

Do I have to reserve an LLP name separately before FiLLiP?

A separate RUN-LLP reservation is one route. FiLLiP also supports name reservation as part of LLP incorporation. Decide the route before paying for applications, and use any existing approved reservation correctly. A name search or portal pre-check does not itself grant approval.

Does company or LLP name approval protect my brand as a trademark?

No. Entity-name approval and trademark registration are separate processes. Trademark registration concerns a mark used for specified goods or services. Before spending on packaging or promotion, check both the proposed entity name and potential trademark conflicts; owning a domain name does not replace those checks.

What should I check before filing a trademark application?

Identify the intended owner, the word or logo to protect, and the goods or services you actually offer or plan to offer. Search existing marks and assess similar names, sounds and logos in the relevant classes. Select the correct classes and descriptions. A clear search result reduces uncertainty but does not guarantee registration.

Can I apply for a trademark before launching the business?

Yes, an application can be filed on a proposed-to-be-used basis. If you claim earlier use, IP India requires a user affidavit and supporting evidence. Choose the correct applicant and filing basis; do not invent a first-use date. Keep genuine invoices, advertising and other dated records when use begins.

What must I do with the LLP agreement after incorporation?

Finalise and execute the agreement, check the applicable stamp-duty treatment and file the initial agreement information in LLP Form 3 within 30 days of incorporation. Do not assume the incorporation certificate completes this step. Keep the signed agreement, filed form, payment receipt and filing acknowledgement together.

Can a newly incorporated company start trading immediately?

For a new company with share capital, first satisfy Section 10A: subscribers must pay for the shares they agreed to take, the required declaration must be filed within 180 days, and registered-office verification must be filed. These conditions apply before commencing business or exercising borrowing powers. Also arrange the first auditor and any activity-specific registrations.

Use this founder checklist to prepare a clear brief for the registration decision.

  1. List the proposed owners, their contributions, who will manage daily work and whether any owner is overseas or a corporate entity.
  2. Write down whether you expect outside equity investors or employee share incentives; discuss a company structure if these are priorities.
  3. For an LLP, agree contribution, profit-sharing and decision-making terms; identify the proposed designated partners and check residency.
  4. For a solo founder, check OPC eligibility and nominee consent; consider how a future co-founder or investor would affect the structure.
  5. Compare the registration scope and recurring accounts, audit and filing obligations. Request a written scope with government charges separated from professional fees.
  6. Confirm the chosen structure, owners, roles, business activities and office arrangement before submitting a name or incorporation application.
Prepare and file a private company or OPC application

This is a preparation sequence, not an approval-time promise. The required attachments depend on the applicants and company type.

  1. Confirm subscribers, directors, business objects, proposed shareholding and office address; for an OPC, confirm the member and nominee details.
  2. Check proposed names and trademark conflicts. Decide whether to reserve the name through SPICe+ Part A first or submit with Part B.
  3. Collect matching identity and address records, office-use evidence and consents. Resolve spelling, address or document-validity differences before signing.
  4. Complete MCA account and DSC setup for the required signatories. Prepare Part B, constitutional documents, declarations and applicable linked forms.
  5. Review the complete application before submission. Save the SRN and receipts, monitor the status and answer any resubmission request within its stated deadline.
  6. After approval, retain the incorporation documents and tax identifiers. Arrange banking, subscription payments, the Section 10A declaration and the first compliance calendar.
Register an LLP and complete the agreement filing

Plan the incorporation and agreement work together so the certificate is followed by the required next steps.

  1. Confirm the partners, designated partners, residency position, contributions and business activities; disclose any existing DIN or DPIN.
  2. Search the proposed name and relevant trademarks. Select separate RUN-LLP reservation or the name-reservation route within FiLLiP.
  3. Collect partner identity and address evidence, office-use documents and consents. Prepare the required DSC and MCA account associations.
  4. Review and submit FiLLiP and the applicable linked forms. Retain the SRN, receipts and replies to any Registrar query.

Check your brand and prepare a trademark filing

Treat brand selection as a separate decision from entity-name approval.

  1. Decide who will own the trademark and whether the filing covers a word, logo or another eligible mark.
  2. List the goods and services to protect and select the relevant Nice classes with precise descriptions.
  3. Use IP India's trademark search to inspect potentially conflicting marks; assess similarity and relevant goods or services, not spelling alone.
  4. Choose proposed use or a supported earlier-use claim. Assemble applicant details, the mark representation and any required affidavit or authorisation.
  5. Review and submit Form TM-A through the official filing route. Save the application number and payment acknowledgement.
  6. Track the application and correspondence. Respond to any examination report, hearing or opposition through the applicable process; filing is not registration.

Questions and answers

Does every new business need GST registration immediately?

No. First check your supplies, turnover, state and any compulsory-registration or exemption rule. Company or LLP incorporation alone does not decide GST liability. Review your actual business model before selecting mandatory or voluntary registration.

Can I register for GST voluntarily below the applicable threshold?

Yes. Voluntary registration is available, but registered-person obligations then apply. Consider invoicing, return filing and record keeping before applying just because a customer asks for a GSTIN.

Can I charge GST while my registration application is pending?

An unregistered person must not collect GST. An application acknowledgement is not a registration certificate. If registration takes effect from an earlier date, check the applicable invoice and reporting treatment before billing customers.

For GST, do I check only the sales of my Ahmedabad branch?

No. Aggregate turnover is generally calculated across India for the same PAN, including taxable supplies, exempt supplies and exports. Counting only one branch or only taxable local sales can give the wrong registration result.

Must every marketplace seller get GST registration, even with low turnover?

No. Certain goods suppliers can use a conditional exemption and enrolment route. Conditions include the applicable turnover limits in both the preceding and current financial years, no interstate goods supplies, marketplace supplies in only one state or Union territory, PAN validation and enrolment before selling. Check all conditions; this goods exemption is not a general rule for services.

What should I do if GST registration is marked pending for clarification?

Download the notice and identify each issue. Correct the application where permitted and submit a point-by-point reply with readable supporting evidence through the prescribed REG-04 response. Follow the notice deadline and save your acknowledgement.

What is the government fee for Udyam registration?

Udyam registration on the official government portal is free. Start from udyamregistration.gov.in. Government facilitation is also available through the Ministry's support system; do not mistake a private website for the government portal.

Do I need to renew my Udyam certificate every year?

No renewal is required. Keep the enterprise's information correct and review its classification as business figures change. A permanent registration number does not mean your MSME category can never change.

Should I get separate Udyam registrations for manufacturing and services?

No. An enterprise should have one Udyam registration. It can include multiple manufacturing and service activities. Add the relevant activities to that registration instead of creating duplicates.

Does Udyam registration make GST registration compulsory for everyone?

No. GSTIN is required for Udyam where GST law makes it applicable. Check GST liability separately; Udyam registration and GST registration serve different purposes.

Whose Aadhaar is used for Udyam registration?

Use the proprietor's Aadhaar for a proprietorship, the managing partner's for a partnership, and the karta's for an HUF. Companies and LLPs use the authorised signatory's Aadhaar with the organisation's PAN and GSTIN where applicable.

Is DPIIT recognition the same as registering a company?

No. First establish an eligible entity; then check the separate DPIIT recognition criteria. Recognition evaluates the startup, including its innovation or scalable business model. It does not create your company or LLP.

Can a sole proprietor apply for DPIIT recognition?

A sole proprietorship is not an eligible entity type. The current official list includes private limited companies, registered partnerships, LLPs and cooperative societies. Choosing an eligible entity is only the first step; the other recognition conditions must also be met.

Does DPIIT recognition automatically give an income-tax exemption?

No. Recognition and the startup income-tax benefit are separate. An eligible recognised startup must follow the separate tax-benefit application and approval process. Do not stop paying or reporting tax merely because you received a recognition certificate.

Where do I apply for DPIIT startup recognition?

The official route is the National Single Window System. Create your own investor account, add the Registration as a Startup approval, and complete the application. Keep the startup's own email and mobile number on the account.

Is there a government fee for DPIIT recognition?

The Ministry does not charge for the DPIIT recognition or eligibility certificate. It has not appointed private agencies or franchises for these certificates. The startup should file using its own details and retain control of its account.

Prepare and follow a normal GST registration application

This is a practical starting checklist. The required verification and documents depend on the applicant and the current portal instructions.

  1. Confirm your registration reason and correct state before starting. Check whether a special category of registration applies.
  2. Prepare matching PAN, business constitution, authorised signatory and business-address information, with supporting documents.
  3. Start REG-01 on the official GST portal. Validate the required contact details and complete the application sections.
  4. Review, sign and submit through the permitted method. Complete the authentication or verification requested for your application.
  5. Save the acknowledgement, monitor application status and answer any clarification with supporting evidence.
  6. After approval, check the certificate details and effective date. Arrange invoicing, records and applicable returns before the first filing deadline.
Prepare for free Udyam registration

Use the official government portal and provide the details of the actual enterprise.

  1. Check whether the enterprise already has an Udyam number before starting another application.
  2. Open the official portal's new-registration form and identify the correct person for Aadhaar verification.
  3. Complete Aadhaar consent and verification, followed by PAN verification.
  4. Enter and review the enterprise's basic details, official address, units and business activities. Provide GSTIN where applicable.
  5. Check the declarations and submit. Retain the registration number and download the certificate through the official portal.
  6. Review any loan, subsidy or procurement scheme separately before relying on its benefits.
Apply for DPIIT recognition through NSWS

Check eligibility first, then use an account controlled by the startup.

  1. Review the current recognition criteria and collect the entity's registration details and supporting documents.
  2. Create or sign in to the investor account on the National Single Window System using the startup's own contact details.
  3. Open Central Approvals and add Registration as a Startup to the dashboard.
  4. Complete the entity and business details. Explain the actual problem, your solution and the innovation or scalability, with genuine supporting evidence.
  5. Check the declarations and submit. Monitor the dashboard and respond to any request for clarification.
  6. After recognition, save the certificate. Check each tax benefit, funding scheme or other concession separately before applying.

My company had no sales. Can I skip annual compliance?

No sales does not automatically remove a company's filing duties. First check its legal status and the financial year concerned. Keep bank charges, incorporation expenses and other transactions in your records, even when sales are zero.

Is an inactive company automatically a dormant company?

No. Formal dormant status has a separate legal framework. Check the company's recorded status before choosing its compliance checklist.

Does an OPC follow the same AGM process as a private company?

No. An OPC is exempt from holding an AGM. Ask for an OPC-specific accounts approval and filing calendar.

What should I prepare before asking someone to complete annual filings?

Create one folder with bank statements, invoices, expense bills, loan details, tax records, earlier filed forms and details of changes during the year. Ask the accountant and filing professional to identify missing records before finalising the accounts.

Can an LLP skip annual filings when it has no business?

Zero activity does not itself remove an LLP's annual reporting duties. Confirm its first financial year and legal status before deciding which returns are due.

Is every late LLP filing charged at a flat ₹100 per day?

No. Additional filing fees and statutory penalties are separate. The applicable amount depends on the form, LLP category, delay and current rules. Obtain a form-wise calculation before paying.

An LLP partner is leaving. Is signing an exit agreement enough?

The exit terms and Registrar notification both matter. Review the LLP agreement, record the effective date, settle the agreed accounts and check the required filings. Leaving does not automatically erase obligations incurred while the person was a partner.

Does a director's resignation remove responsibility for earlier defaults?

No. Resignation does not automatically remove liability for offences during the director's tenure. Record the notice, effective date and required company filings.

We are moving our registered office. Is every move treated the same?

No. Company approvals differ for moves within local limits, between ROC jurisdictions and between states. Identify both addresses before choosing the process.

Can my LLP simply start using a new registered office address?

An LLP must notify its registered office change through the prescribed process. Check the agreement, location of the move and supporting address documents before filing.

What should I do when MCA asks for resubmission?

Read every remark and the deadline shown in your application. Make a list matching each remark to the correction and supporting document. Recheck the whole application before resubmitting, then save the acknowledgement. Do not assume that uploading the same attachments again resolves the objection.

Money was debited but my MCA payment or SRN is still pending. What should I do?

Keep the SRN, bank transaction reference, amount, payment time and screenshot together. Check the application's current payment status and receipt before trying again. If the records disagree, raise a support request through the official MCA portal. A bank debit alone is not your filing acknowledgement.

My proposed name was returned or rejected. Should I just change one word?

Start with the actual reason given. Compare the proposed name, business activity, existing names and any consent requested. Prepare a reasoned correction or fresh options that address the objection, then check the application route and deadline. A minor spelling change may leave the same issue unresolved.

Will closing my company cancel all old liabilities?

No. Strike-off does not automatically erase earlier liabilities. Check eligibility, outstanding amounts and unresolved matters before choosing the closure route.

Should I convert my business or register a new entity?

Start with your goal: investment, ownership changes, a new activity or simpler administration. Prepare a comparison covering assets, contracts, employees, creditors, registrations and tax costs. Ask which items continue, need consent, require amendment or need a fresh application under each available route.

  1. Write down your reason for changing course and whether the business, brand or assets will still be used.
  2. Prepare a list of assets, unpaid creditors, loans, guarantees, tax matters, employees, contracts and pending notices or disputes.
  3. Collect incorporation documents, current ownership records, latest accounts and earlier compliance acknowledgements.
  4. Ask for a route-by-route review of eligibility, approvals, costs, tax consequences and obligations that may continue.
  5. Proceed with the selected route and retain the final order, certificate or notice. Confirm which other registrations and contracts need separate action.
