Why OPC

Why register a One Person Company.

A One Person Company lets a solo founder get the limited liability and separate legal identity of a company, without needing to bring in a co-promoter just to satisfy a minimum-shareholder rule. Unlike a sole proprietorship, your personal assets stay protected if the business runs into debt or a lawsuit.

Every OPC must name a nominee — someone who steps in as the new member if you die or become incapacitated — and the structure is designed to convert smoothly into a Private Limited Company later if your paid-up capital or turnover crosses the prescribed thresholds.

Procedure of OPC registration

The process is the same SPICe+ filing used for a Private Limited Company, with one addition — your nominee's written consent has to be filed alongside it.

01 Step

Nominee Appointment

Every OPC must name a nominee who will take over membership if the owner dies or becomes incapacitated — we prepare the nominee's consent (Form INC-3).

02 Step

DSC & Name Reservation

A Digital Signature Certificate is processed for the sole director, and the proposed company name is reserved via SPICe+ Part A.

03 Step

SPICe+ Filing

MOA, AOA and the nominee's consent are filed together through SPICe+, the same integrated form used for Private Limited Companies.

04 Step

Certificate of Incorporation

The MCA issues the Certificate of Incorporation along with PAN and TAN in the same filing.

Conversion becomes mandatory if the OPC's paid-up capital exceeds ₹50 lakh or its average annual turnover exceeds ₹2 crore over three consecutive years.

Yes — like a Private Limited Company, an OPC must get its accounts audited every year regardless of turnover.

Only an Indian citizen and resident can be a nominee, and they must give written consent before incorporation.

No — currently, only a resident Indian citizen can be the sole member or nominee of an OPC.
