Partnership Firm Registration in Ahmedabad: Process, Documents and Deed
A partnership firm is the simplest way for two or more people to run a business together. It is governed by the Indian Partnership Act, 1932. A firm comes into existence through a partnership deed, and in Gujarat it is registered with the Registrar of Firms. Unlike a company or LLP, a partnership firm is not registered with the Ministry of Corporate Affairs.
Is registration of a partnership firm compulsory?
Under the Indian Partnership Act, registration is optional, including in Gujarat. But an unregistered firm carries a serious handicap under section 69: the firm cannot file a suit against a third party to enforce a contract, and a partner cannot sue the firm or the other partners to enforce a right under the partnership contract or the Act, unless the firm is registered and the partners are shown in the Register of Firms. The bar also covers set-off claims. It does not stop a suit to dissolve the firm or for accounts of a dissolved firm, and it does not stop others from suing the firm. In practice, banks, government departments and many clients also expect a registered firm. Register it.
Step 1: Draft and execute the partnership deed
The deed is the agreement between the partners. It should cover at least:
- the firm's name, principal place of business and the nature of the business;
- the names and addresses of the partners, and the date each joined;
- capital contribution of each partner, and the profit and loss sharing ratio;
- remuneration and interest on capital to partners, if any (this matters for income-tax deductions);
- duties and powers of partners, bank operation, admission and retirement of partners, and dissolution.
The deed must be stamped under Article 44 of the Gujarat Stamp Act, 1958. Where the partners bring in capital in cash, the duty is 1% of the partnership capital, up to a maximum of ₹10,000. Where a partner brings in immovable property as capital, the duty is the same as on a conveyance of that property at its market value. Check the current amount on the state e-stamping calculator before buying stamp paper. An under-stamped deed is not admissible as evidence until the shortfall and the penalty are paid.
Step 2: Register with the Registrar of Firms, Gujarat
- Get the firm's PAN on the basis of the signed deed.
- Log in to Gujarat's Investor Facilitation Portal (ifp.gujarat.gov.in) and choose the Registrar of Firms application. It takes you to the Commercial Tax Department portal.
- Fill in Form A, the statement under section 58 of the Act: the firm name, principal place of business, other places of business, partners' names and addresses, the date each joined, and the duration of the firm. Upload the documents and generate an acknowledgement number.
- Pay the registration fee online against that acknowledgement number (the amount is shown on the payment screen), then generate the final acknowledgement.
- If the department raises a deficiency, clear it online by uploading the documents asked for. Once approved, the firm is entered in the Register of Firms. You can track the status on the same portal.
The Commercial Tax Department also publishes a format of partnership deed for Registrar of Firms filings. Procedures and fees are set by the state and can change, so check the current instructions on the portal before filing.
Documents usually needed
- The firm's own PAN, applied for on the basis of the signed partnership deed. Gujarat's online Registrar of Firms application asks for the firm's PAN at the first step, so get it before you apply.
- Partnership deed on stamp paper of the correct value, signed by all partners.
- PAN and identity and address proof of each partner.
- Proof of the principal place of business: ownership document or rent agreement, a recent utility bill and the owner's consent where needed.
- Any other documents the online application asks for at the upload step.
After registration
- Open a current account in the firm's name.
- Register for GST if turnover or the type of business requires it, and for Udyam if the firm is an MSME.
- In Ahmedabad, check professional tax enrolment and shops and establishments registration or intimation.
- Tell the Registrar of Firms about later changes (sections 60 to 63 of the Act), such as a partner joining or leaving, a change of firm name or place of business, or dissolution. Until a change is recorded, the Register still shows the old details.
Partnership firm or LLP?
In a partnership firm, partners have unlimited personal liability for the firm's debts. An LLP keeps the partnership style of working but limits each partner's liability, and is registered online with the Ministry of Corporate Affairs. An LLP also has more annual filings. If the business takes on debt, contracts or risk, an LLP is usually the safer choice. A registered partnership firm, like an LLP, is also eligible for DPIIT startup recognition, but the startup income-tax holiday is available only to companies and LLPs.
