Exemptions under Section 462 of the Companies Act, 2013

Section 462 lets the Central Government exempt a class of companies from provisions of the Act, or apply them with modifications, by notification laid before Parliament. On 5 June 2015 MCA issued separate exemption notifications for private companies, Section 8 (non-profit) companies and government companies, and amended them in 2017. Choose a class below for the full section-by-section list.

How section 462 exemptions work

  • An exemption applies only to the class of company named in the notification, and only to the provisions it lists.
  • Since June 2017, each notification's exemptions apply only if the company has not defaulted in filing its financial statements (section 137) or its annual return (section 92) with the Registrar.
  • Later amendments to the Act itself can make an exemption redundant. The tables mark these where they apply.
  • Where an exemption says a provision applies "unless the articles provide otherwise", check your own articles of association.
