Conversion is entirely voluntary today. Before 1 April 2021, an OPC had to wait two years and was forced to convert once paid-up capital crossed ₹50 lakh or turnover crossed ₹2 crore. The Companies (Incorporation) Second Amendment Rules, 2021 removed both limits, so conversion can now happen at any time, regardless of turnover or capital.
